These terms govern your use of Looped's time tracking and invoicing platform. By using our services, you agree to these terms. We've written them to be as clear and straightforward as possible.

Overview

Looped provides AI-first time tracking, invoicing, and payment tools designed for consultants, freelancers, and agencies. These Terms of Service apply to all Looped applications and services, including Looped Track and Looped Invoices.

By accessing or using Looped, you agree to be bound by these terms. If you don't agree with any part of these terms, you may not use our services.

The service is provided by Looped Process Improvement and Automation Consultants (Pty) Ltd, a company registered in South Africa (Registration Number: 2021/782285/07).

Account Terms

Account Responsibility

When you create an account with Looped, you are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account, whether or not authorized by you
  • Ensuring your login information is kept confidential and secure
  • Notifying us immediately of any unauthorized access or security breach

We will not be liable for any loss or damage arising from your failure to maintain account security.

Age Requirements

You must be at least 16 years old to use Looped. By using our services, you represent that you meet this age requirement.

If you are using Looped on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and using our services. This includes:

  • Your contact information
  • Business details for invoicing purposes
  • Payment and billing information

You must update this information promptly if it changes. We may suspend or terminate accounts with inaccurate or misleading information.

One Account Per Person

Each account must represent a real person or business entity. You may not create multiple accounts to circumvent our policies or for fraudulent purposes.

Use of Service

Acceptable Use

Looped is designed to help you track time, create invoices, and manage your consulting or freelance business. You may use our services only for lawful purposes and in accordance with these terms.

Prohibited Activities

You agree not to:

  • Use the service for any illegal purpose or to violate any laws
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the service or servers connected to it
  • Use automated systems (bots, scrapers) to access the service without permission
  • Reverse engineer, decompile, or disassemble any part of the service
  • Create invoices or conduct transactions that are fraudulent or deceptive
  • Use the service to harass, abuse, or harm another person or organization
  • Resell or redistribute the service without our written permission
  • Remove or alter any copyright, trademark, or proprietary notices

We reserve the right to investigate and take appropriate action against anyone who violates these terms, including suspending or terminating accounts.

Service Availability

We strive to keep Looped available and running smoothly, but we don't guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Intellectual Property

Looped's Property

The Looped service, including its software, design, content, trademarks, and all intellectual property rights, belongs to Looped Process Improvement and Automation Consultants (Pty) Ltd. These terms do not grant you ownership of any part of the service.

We grant you a limited, non-exclusive, non-transferable license to access and use the service for your personal or business purposes, subject to these terms.

Your Data

You retain all ownership rights to the data you create, upload, or generate while using Looped. This includes:

  • Time entries and project information
  • Invoices and client data
  • Reports and exports
  • Any other content you create in the service

By using our services, you grant us permission to use your data solely to provide, maintain, and improve our services. We will not use your data for any other purpose without your consent. See our Privacy Policy for details on how we handle your data.

Feedback

If you provide us with feedback, suggestions, or ideas about Looped, you grant us the right to use them without any obligation or compensation to you. We appreciate your input in helping us improve the service.

Payment & Billing

Subscription Fees

Looped offers subscription-based pricing plans. The specific features, limits, and pricing for each plan are described on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

Billing Cycles

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Billing occurs automatically on the renewal date unless you cancel your subscription before then.

You are responsible for providing valid payment information and ensuring sufficient funds are available. If a payment fails, we may:

  • Retry the payment
  • Notify you via email
  • Suspend or downgrade your account until payment is received

Price Changes

We may change our pricing from time to time. If we increase the price of your plan, we will notify you at least 30 days in advance. The new price will apply at your next billing cycle after the notice period.

You may cancel your subscription before the new price takes effect if you don't agree with the change.

Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in exceptional circumstances, such as:

  • Technical issues that prevented you from using the service
  • Billing errors or duplicate charges
  • Service cancellation shortly after payment

To request a refund, contact us at legal@looped.sh within 14 days of the charge. We will review your request and respond promptly.

Free Trials

If you sign up for a free trial, you can use the service without charge for the trial period. We may require payment information to start a trial. Unless you cancel before the trial ends, you will be automatically charged for a paid subscription when the trial expires.

Taxes

All fees are exclusive of taxes unless stated otherwise. You are responsible for paying any applicable taxes, including VAT, sales tax, or other local taxes, in connection with your use of Looped.

Data & Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, protect, and share your information. By using Looped, you agree to our data practices as described in the Privacy Policy.

  • We collect only the data necessary to provide our services
  • We do not sell your data to third parties
  • You own your data and can export or delete it at any time
  • We use industry-standard security measures to protect your data

Termination

Termination by You

You may stop using Looped and cancel your subscription at any time. To cancel:

  • Go to your account settings and follow the cancellation process
  • Or contact us at legal@looped.sh

Cancellation takes effect at the end of your current billing period. You will continue to have access until then. No refunds are provided for partial billing periods.

Termination by Looped

We reserve the right to suspend or terminate your account if:

  • You violate these terms or our policies
  • Your account shows fraudulent or illegal activity
  • Payment fails repeatedly
  • Your use of the service poses a security risk or disrupts other users

We will usually provide notice before terminating your account, but we may suspend access immediately in cases of serious violations or security concerns.

What Happens to Your Data

After termination:

  • You will lose access to your account and all data stored in Looped
  • We recommend exporting your data before cancelling your account
  • Your data will be permanently deleted within 30 days of termination
  • Some data may be retained longer if required by law (e.g., financial records for tax purposes)

Once data is deleted, we cannot recover it. Make sure to export any data you need before terminating your account.

Disclaimers

Looped is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, we disclaim all warranties, including:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected or that the service is free of viruses

We work hard to provide a reliable service, but we cannot guarantee that it will always meet your expectations or be available at all times. You use the service at your own risk.

We are not responsible for any third-party services integrated with Looped (such as payment processors, calendar providers, or AI services). Your use of these services is subject to their own terms and policies.

Limitation of Liability

To the maximum extent permitted by law, Looped and its officers, directors, employees, and agents will not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the service
  • Damages resulting from unauthorized access to your account or data
  • Damages caused by errors, bugs, or service interruptions

Our total liability for any claims arising from your use of Looped will not exceed the amount you paid us in the 12 months before the event giving rise to liability, or R1,000 (South African Rand), whichever is greater.

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we were advised of the possibility of such damages.

Some jurisdictions do not allow certain liability limitations. In such cases, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Looped and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Your violation of these terms
  • Your violation of any laws or regulations
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content or data you submit, post, or transmit through the service
  • Invoices you create or transactions you conduct using Looped

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices.

When we make significant changes, we will notify you by:

  • Sending an email to the address on your account
  • Posting a prominent notice in the application or on our website

We will provide at least 30 days' notice before significant changes take effect. For minor changes (such as clarifications or corrections), we may update the terms without prior notice.

Your continued use of Looped after changes take effect constitutes acceptance of the updated terms. If you don't agree with the changes, you must stop using the service and cancel your account.

The "Last updated" date at the top of this page shows when these terms were last revised. We encourage you to review these terms periodically.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.

Any disputes arising from these terms or your use of Looped will be subject to the exclusive jurisdiction of the courts of South Africa.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

General

Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Looped regarding the use of our services. They supersede any prior agreements or understandings.

Waiver

Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment

You may not transfer or assign your rights or obligations under these terms without our written consent. We may assign these terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Severability

If any provision of these terms is held invalid or unenforceable, that provision will be modified to reflect the parties' intention, or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

Force Majeure

We will not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, or government actions.
